What Form 144 is
Form 144 is a notice of a proposed sale of restricted stock or of shares held by an affiliate, such as an executive, director or large holder. It's filed under Rule 144 when the planned sale in a three-month period is more than 5,000 shares or $50,000.
What it tells you
It shows who plans to sell, how many shares, the approximate value, and the broker. It's filed around the time the sell order is placed, so it can show up before the Form 4 that reports the actual sale.
Context
Many Form 144 sales are routine, such as selling vested stock or planned diversification. Filing Radar lists them with red flags because they're advance notice of insider selling, not because they're bad news on their own.
Quick answers
Does Form 144 mean the insider sold?
It means they intend to sell; the completed sale is reported later, usually on Form 4.
